StoreSteady Terms of Service

These Terms of Service ("Terms") govern your use of the StoreSteady application ("the App"), operated by Caleb Carter ("we," "us," "our"). By installing or using StoreSteady through the Shopify App Store, you ("Merchant," "you") agree to these Terms.

1. Service Description

StoreSteady is a Shopify application that connects your Shopify store to your Google Merchant Center account to detect and help resolve data conflicts between your product feed, Google Shopping listings, and storefront structured data markup.

The App provides:

Automated audits comparing product data across Shopify, Google Merchant Center, and your storefront
A prioritized queue of detected issues with severity ratings and fix guidance
Automated fix capabilities for select issue types (return policies, promotions, shipping settings)
Theme patch generation for structured data corrections
Periodic background sync to keep issue data current

2. Eligibility

You must have an active Shopify store and be authorized to install apps on that store. You must be at least 18 years old or the age of legal majority in your jurisdiction.

3. Account and Access

3.1 Installation

You install StoreSteady through the Shopify App Store using Shopify's standard OAuth authorization flow. By authorizing the App, you grant us access to the Shopify API scopes described in our Privacy Policy.

3.2 Google Merchant Center Connection

Connecting your Google Merchant Center account is optional but required for full functionality. By connecting, you authorize StoreSteady to read and, where applicable, write data to your Merchant Center account as described in our Privacy Policy.

3.3 Your Responsibilities

You are responsible for:

Maintaining the security of your Shopify and Google accounts
Reviewing and approving any automated fixes before or after they are applied
Verifying that fixes applied by StoreSteady produce the intended results in your Merchant Center account
Ensuring your use of StoreSteady complies with Shopify's Terms of Service, Google's Terms of Service, and all applicable laws

4. Automated Fixes and Write Operations

4.1 Scope of Automated Fixes

StoreSteady can perform limited write operations on your Google Merchant Center account, specifically:

Creating or updating return policies
Creating or updating promotions (supported types: percentage discount, fixed amount discount, free shipping)
Updating shipping settings

StoreSteady does not modify your Shopify product data. StoreSteady does not overwrite product-level data in Google Merchant Center.

4.2 Your Approval

Automated fixes are initiated only by your explicit action (clicking a "Fix" button in the App). StoreSteady does not apply fixes automatically without your input.

4.3 Best-Effort Service

Automated fixes are provided on a best-effort basis. We make reasonable efforts to ensure fixes are accurate and effective, but we cannot guarantee that every fix will resolve a Google Merchant Center disapproval or produce a specific outcome. Google's processing of changes is subject to Google's own review timelines and policies.

4.4 Rollback

Where technically feasible, StoreSteady records the prior state of data before applying a fix. If a fix produces an unintended result, we will make reasonable efforts to assist with rollback, but we cannot guarantee that all changes are reversible.

5. Pricing and Billing

5.1 Subscription Plans

StoreSteady offers multiple subscription tiers, including a free plan. Paid plans are billed monthly through the Shopify Billing API. Current pricing is displayed in the Shopify App Store listing and within the App.

5.2 Free Trial

Paid plans include a 14-day free trial. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will begin and you will be charged at the plan rate.

5.3 Changes to Pricing

We may change subscription pricing with 30 days' notice. Price changes do not apply retroactively to the current billing period.

5.4 Refunds

Because billing is processed through Shopify's Billing API, refund requests are handled in accordance with Shopify's policies. Contact us at support@storesteady.com if you believe you are entitled to a refund, and we will work with Shopify to process it.

6. Data Ownership

6.1 Your Data

You retain full ownership of your store data, product information, and business data. We do not claim any ownership interest in the data you provide or that we access through Shopify or Google APIs.

6.2 License to Us

By using StoreSteady, you grant us a limited, non-exclusive license to access, store, and process your data solely for the purpose of providing the StoreSteady service. This license terminates when you uninstall the App and your data is deleted per our Privacy Policy.

6.3 Aggregate Data

We may use anonymized, aggregate data (not identifiable to any individual merchant) to improve the App, conduct research, and develop new features. This aggregate data cannot be used to identify you or your store.

7. Intellectual Property

The App, including its code, design, algorithms, and documentation, is our intellectual property. These Terms do not grant you any rights to our intellectual property except the limited right to use the App as described here.

8. Prohibited Uses

You may not:

Reverse-engineer, decompile, or disassemble the App
Use the App to access or interfere with other merchants' data
Resell or sublicense access to the App without our written consent
Use the App for any purpose that violates applicable laws or Shopify's Terms of Service
Attempt to circumvent usage limits, rate limits, or plan restrictions
Provide false or misleading information during registration or support interactions

9. Service Availability and Support

9.1 Availability

We aim to maintain reasonable uptime for the App but do not guarantee uninterrupted service. The App depends on third-party services (Shopify APIs, Google APIs, Supabase) that are outside our control.

9.2 Scheduled Maintenance

We will make reasonable efforts to notify you of planned maintenance that may affect service availability.

9.3 Support

Support is provided via email at support@storesteady.com. Response times vary by plan tier. We do not guarantee specific resolution times unless specified in a separate service-level agreement.

10. Limitation of Liability

10.1 No Warranty

The App is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10.2 Limitation

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

Lost revenue or lost sales resulting from Google Merchant Center disapprovals, whether or not StoreSteady detected or failed to detect the underlying issue
Data loss resulting from service interruptions or bugs
Business interruption caused by incorrect fix applications
Any damages arising from your reliance on StoreSteady's conflict detection or fix recommendations

10.3 Maximum Liability

Our total aggregate liability for all claims arising from your use of StoreSteady is limited to the amount you paid us in the 12 months preceding the claim.

10.4 Acknowledgment

You acknowledge that:

StoreSteady provides diagnostic and remediation assistance, not guarantees of Google Shopping performance
Google's product review and approval processes are outside our control
Conflict detection accuracy depends on the quality and consistency of data across your connected platforms
You are responsible for verifying that any fixes applied through StoreSteady produce the intended results

11. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or damages arising from:

Your use of the App in violation of these Terms
Your violation of any third-party rights
Any data you provide to us that infringes on third-party rights
Your failure to verify fixes applied through the App

12. Termination

12.1 By You

You may terminate these Terms at any time by uninstalling StoreSteady from your Shopify store. Upon uninstallation, your data will be deleted per our Privacy Policy.

12.2 By Us

We may suspend or terminate your access to StoreSteady if you violate these Terms, if your Shopify store is suspended, or if continuing to provide service would expose us to legal liability. We will make reasonable efforts to notify you before termination except in cases of urgent security concerns or legal requirements.

12.3 Effect of Termination

Upon termination, your right to use the App ceases immediately. Sections 6 (Data Ownership), 7 (Intellectual Property), 10 (Limitation of Liability), 11 (Indemnification), and 14 (Governing Law) survive termination.

13. Modifications to Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the App or by email at least 30 days before the changes take effect. Your continued use of StoreSteady after the effective date constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of Washington, United States, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of StoreSteady will be resolved in the state or federal courts located in King County, Washington.

15. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding StoreSteady.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
Assignment: You may not assign your rights under these Terms. We may assign our rights without restriction.
